Welcome to Mentorio.me. These Terms of Service ("Terms") govern your use of the platform operated by Mentorio.me ("the Platform", "we", or "our"), a company incorporated under the laws of the State of Florida, United States of America. By creating an account, booking a session, or offering consulting services through the Platform, you fully accept these Terms.

If you do not agree with any part of these Terms, do not use the Platform.

1. Acceptance and eligibility

To use the Platform, you represent and warrant that:

  • You are 18 years of age or older. The Platform is not intended for minors and no registrations are allowed for persons under 18, neither as experts nor as clients.
  • You have the legal capacity to enter into binding contracts in your jurisdiction.
  • The information you provide upon registration is truthful, accurate, and current.
  • You have not been previously suspended or removed from the Platform.
  • You will comply with all applicable laws in your jurisdiction, including tax and regulatory obligations.

By accepting these Terms, you expressly confirm that you meet these requirements. The Platform may request identity or age verification at any time and may suspend accounts that do not comply.

2. Description of service and tripartite model

Mentorio.me is a technological infrastructure that allows professionals with expertise (the "Experts") to create professional pages, publish consulting sessions, and sell those sessions to their own clients (the "Clients"). The Platform facilitates:

  • The creation of public professional profiles at /@username.
  • The publication of private (1-on-1) or group (2 to 5 people) sessions.
  • Payment processing via Stripe, with the Platform acting as Merchant of Record.
  • Integrated video calls via Daily.co.
  • The management of reviews, reminders, and related communications.

Tripartite model. The contractual relationship is triangular:

  • Platform: provides the technological infrastructure and support services.
  • Expert: is the direct seller of the consulting service. They are solely responsible for the content, quality, and delivery of sessions, as well as their tax obligations.
  • Client: is the buyer of the service. They enter into a service contract directly with the Expert.

The Platform acts as "Merchant of Record" vis-à-vis the Client for payment processing purposes: it collects 100% of the session price to its own account, and the payment receipt (issued by Stripe) is generated in the Platform's name. The Expert delivers the consulting service as an independent provider contracted by the Platform; their earnings consist of 82% net of each completed session and are paid by the Platform to the Expert via bank transfer (see §4.2 and §4.3). The Platform does not issue additional tax invoices for the session during the MVP; when applicable legislation requires it, the corresponding mechanisms will be implemented and communicated to both the Client and the Expert. The Expert is solely responsible for reporting and paying taxes on income received from the Platform, in accordance with the laws of their jurisdiction.

3. Accounts and security

To access most features you must create an account. You are responsible for:

  • Maintaining the confidentiality of your access credentials.
  • All activity carried out from your account.
  • Notifying us immediately if you suspect unauthorized access to your account, by writing to support@mentorio.me.

Sharing accounts, creating multiple accounts to circumvent sanctions, or impersonating another person is not allowed. The Platform may suspend accounts that violate these rules.

4. Payments, commission, and receipts

4.1 Prices

Each Expert freely sets the price of each session in a single active currency. The price shown to the Client at the time of booking is the total amount they will pay, before applicable taxes that Stripe may calculate.

4.2 Platform commission

The Platform charges 100% of the price of each session to the Client through Stripe. From the gross amount, the Platform retains a single commission of 18% (eighteen percent) as consideration for the infrastructure and services provided, and accrues the remaining 82% net as the Expert's balance denominated in United States dollars (USD). Payouts to the Expert are processed on fixed monthly cycles: on the 5th day of each month, the Platform generates a payout via international bank transfer (Wise or equivalent) covering the eligible balance accrued during the previous calendar month, provided that balance equals or exceeds the minimum payout threshold (visible at /expert/earnings, USD 100 by default). If the balance does not reach the minimum, it carries over to the next cycle. Full operational details of the cycle (eligibility cutoff, 48-hour hold, carry-over, manual exceptions) are set out in the Expert Agreement §2.2.

4.3 Payment processing and receipts

All payments are processed through Stripe. Stripe automatically issues a payment receipt to the Client in the Platform's name (as Merchant of Record). The Platform does not issue additional tax invoices for the session during the MVP. Jurisdiction-specific invoicing requirements will be implemented progressively; when applicable, they will be communicated to the Client through standard channels.

4.4 Taxes

The Expert is solely responsible for declaring and paying the taxes owed for the services rendered. The Platform does not withhold taxes on behalf of the Expert, unless required by applicable law and expressly communicated by us.

5. Cancellation and refund policy

5.2 Details

  • Client cancellation ≥ 24h in advance: full 100% refund (including commission).
  • Client cancellation < 24h in advance: no refund. The payment enters the Expert's eligible balance and is included in the corresponding monthly cycle per §4.2.
  • Rescheduling by the Client: free up to 12 hours before the start time; no money is lost. After 12h, only cancellation is possible according to the prior rules.
  • Cancellation by the Expert: the Client always receives a 100% refund. If the cancellation occurs less than 24h before the start, the Expert automatically receives a strike (see §8).
  • Group session without minimum attendance: when the booking window configured by the Expert closes, if the minimum number of participants has not been reached, the session is automatically canceled and all Clients receive a 100% refund.
  • Client no-show: if the Client does not show up, there is no refund. The payment is released to the Expert normally.
  • Expert no-show: if 10 minutes after the scheduled start time the system does not register the Expert's presence, an automatic 100% refund is issued to the Client and a strike is applied to the Expert.
  • Late arrival: if more than 10 minutes have passed since the scheduled start time and the Client or Expert tries to connect for the first time, they will not be admitted, and the session counts as a no-show by the late party with the same consequences described above.
  • Neither party connects: if 10 minutes after the scheduled start neither the Client nor the Expert has connected, the session is automatically closed. The Client does not receive a refund and the Expert does not receive payment for that session; the amount is retained by the Platform.

5.3 Completed session

A session is considered completed when the Expert was present for at least 50% of the scheduled time.

6. Acceptable conduct

Both Experts and Clients agree to:

  • Treat the other party with respect and professionalism.
  • Not share illegal, discriminatory, violent, sexually explicit content or content that infringes third-party rights.
  • Not harass, threaten, extort, or incite hatred.
  • Not use the Platform for fraudulent activities, money laundering, or evasion of sanctions.
  • Not attempt to access other people's accounts, breach system security, or reverse engineer the software.
  • Not collect personal data from other users outside the authorized context.

Specific prohibition for Experts: not solicit off-platform payments for services that were initiated through the Platform. This constitutes a serious violation and may result in permanent suspension.

7. Sessions and recordings

7.1 Formats

Sessions may be private (1-on-1) or group (2 to 5 people). The available durations are fixed: 20, 30, 45, or 60 minutes.

7.2 Video room

The virtual room is enabled 5 minutes before the scheduled start, through Daily.co. We recommend joining in advance to verify microphone, camera, and connection.

7.3 Recordings

Recordings are optional and disabled by default. If the Expert enables recording for a session, all Clients must give explicit consent before recording begins. A Client who does not consent may choose not to participate in the recording or cancel the session subject to the refund policy.

Recordings are stored securely and are automatically deleted 60 days after the end of the session. They are not used to train artificial intelligence models nor shared with third parties without consent.

8. Strikes and suspensions

The Platform applies an automatic strike system to protect service quality:

  • Strike: assigned to the Expert for cancellations less than 24h in advance or confirmed no-shows.
  • 3 strikes within a rolling 60-day window: automatic suspension of the Expert's account. The Expert will receive notification and may request manual review from the support team.
  • Reactivation: depends on the nature of the strikes and may require a corrective plan agreed with the Platform.

The Platform reserves the right to suspend accounts for serious violations of these Terms, with or without prior notice, depending on the severity.

9. Intellectual property

  • Expert content: the Expert retains ownership of all the content they create (session descriptions, biography, shared materials, recordings). By publishing on the Platform, they grant the Platform a worldwide, non-exclusive, royalty-free, and revocable license to store, display, and distribute such content in the context of operating the service.
  • Client content: preparation forms, reviews, and messages within the Platform belong to the Client, who grants a similar license for their use within the service.
  • Platform: the software, brand, logos, design, and code are property of Mentorio.me. No license is granted over these elements beyond normal use of the service.

10. Indemnification and limitation of liability

10.1 Indemnification

You agree to indemnify and hold harmless Mentorio.me, its directors, employees, and affiliates, from any claim, loss, damage, or expense (including reasonable legal fees) arising from:

  • Your use of the Platform.
  • Your breach of these Terms.
  • Your violation of third-party rights.
  • Content you publish or services you provide through the Platform.

10.2 Limitation of liability

To the maximum extent permitted by law, Mentorio.me will not be liable for:

  • Indirect, incidental, consequential, or punitive damages.
  • Loss of profits, income, data, or reputation.
  • The content, quality, accuracy, or outcome of sessions (sole responsibility of the Expert).
  • Interruptions or failures of third-party services (Stripe, Daily.co, internet providers).

The Platform's total liability to any user, in any case, shall not exceed the total amount paid by that user to the Platform in the last 12 months.

11. Termination

11.1 By the user

You may close your account at any time from /account/security. Closure is immediate in terms of access; personal data is automatically anonymized after 30 days, except for tax and transactional records that must be retained for 7 years pursuant to applicable legislation.

11.2 By the Platform

We may suspend or close your account if:

  • You breach these Terms or the Expert Agreement (if applicable).
  • You accumulate strikes up to the suspension threshold.
  • We detect fraudulent or illegal activity.
  • It is required by competent authority.

11.3 Effects of termination

Already confirmed sessions are honored or refunded according to the applicable policy. Pending obligations (payments, refunds, taxes) survive termination.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified with at least 30 days' advance notice via email and a notice within the Platform. Continued use after the effective date implies acceptance of the new Terms. If you do not agree, you may close your account before that date.

Historical versions are archived by date and are accessible upon request.

13. Dispute resolution

In the event of any controversy related to these Terms or use of the Platform:

  1. Direct negotiation: contact support@mentorio.me to attempt a friendly solution. We will respond within a reasonable time (generally 5 business days).
  2. Mediation: if negotiation does not succeed, the parties will seek to submit to mediation.
  3. Judicial forum: as a last resort, disputes will be submitted to the competent courts pursuant to §14.

Disputes between Client and Expert regarding the content or execution of the session are primarily the responsibility of both parties. The Platform may facilitate resolution but does not act as a binding arbitrator.

14. Jurisdiction and applicable law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the competent courts of Miami-Dade County, Florida, waiving any other venue that may correspond to them.
