This Expert Agreement ("Agreement") complements the Terms of Service and applies specifically to users who offer consulting sessions through Mentorio.me ("Platform"). By activating your Expert profile and publishing sessions, you fully accept this Agreement.

1. Expert's role

The Expert is an independent professional who uses the Platform as infrastructure to sell consulting sessions to their own audience. This Agreement does not create an employment, agency, franchise, partnership, or joint venture relationship between the Expert and the Platform. Specifically:

  • The Expert is not an employee of the Platform. They receive no salary, employment benefits, or social security contributions from us.
  • The Platform acts as Merchant of Record vis-à-vis the end Client (the payment receipt is issued in the Platform's name through Stripe). The Expert delivers the consulting service as an independent provider contracted by the Platform and receives 85% net of each completed session as a fee for services rendered.
  • The Expert is solely responsible for complying with their tax, accounting, regulatory, and professional obligations in their jurisdiction.
  • The Expert contracts directly with the Client; the Platform only facilitates the transaction.

The Expert declares to have the experience, credentials, and capacity necessary to provide the services they publish.

2. Commission and payment mechanics

2.1 Commission

The Platform charges 100% of the price of each session to the Client through Stripe. From the gross amount, the Platform retains a single commission of 15% (fifteen percent) as consideration for the infrastructure and services provided, and accrues the remaining 85% net as the Expert's balance in United States dollars (USD). The 85% net becomes payable to the Expert 24 to 48 hours after the session is marked as completed.

2.2 Payouts via bank transfer

  • The Platform is Merchant of Record: it collects 100% from the Client and accrues the Expert's 85% net in United States dollars (USD).
  • The Expert configures their payout method (bank details: account holder name, country, IBAN or account number, SWIFT/BIC, routing number if US-based, tax ID if applicable) at /expert/payouts. Sensitive fields are stored encrypted (AES-256-GCM) in the Platform's database.
  • A Platform administrator manually validates the bank details before the first payout (typically 1 to 2 business days).
  • Once the Expert's accrued balance reaches the minimum payout threshold configured by the Platform (visible at /expert/earnings, USD 100 by default), the administrator generates a payout and processes it via international bank transfer (Wise or an equivalent method). The Expert receives a confirmation email when the payout is marked as paid.
  • Sessions become eligible for payout 24 to 48 hours after being marked as completed in the system.
  • If a session ends with status cancelled, no_show_expert, or cancelled_min_capacity_not_met, its amount is not released as payable balance to the Expert.
  • Crediting times depend on the Expert's receiving bank (typically 1 to 3 business days from when the Platform sends the transfer).

2.3 Currency

A single active currency per Expert. It can be changed from the account settings, but changes only apply to sessions published after the change.

2.4 Frozen price

The price of a session is frozen at the time of publishing. Subsequent price changes only affect new sessions, not already confirmed bookings.

3. Payout method setup

3.1 Registration without configuring bank details

You may register on the Platform, build your profile, publish sessions and receive bookings without setting up your payout method upfront. Client bookings are confirmed immediately upon payment, even if the Expert has not yet added bank details, and the corresponding amount accrues in USD to the Expert's balance on the Platform.

3.2 Setup prior to first payout

To receive money, the Expert must configure their payout method at /expert/payouts, providing full bank details and, where their jurisdiction requires it, a tax ID. The Platform manually validates the details (typically 1 to 2 business days) before processing the first payout. This validation happens only once.

Until the Expert reaches the minimum payout threshold, there is no obligation to configure bank details; the balance keeps accruing with no expiration date.

3.3 Manual expertise validation

Separately and independently from bank validation, before accepting bookings the Platform manually validates the Expert's expertise (24 to 48 hours after profile submission). This validation may require additional information. Acceptance is at the reasonable discretion of the Platform.

4. Conduct obligations

The Expert agrees to:

  • Appear punctually at each booked session. Being present at least 50% of the scheduled time is a requirement to mark the session as completed.
  • Professionalism in dealing with the Client: respect, appropriate language, fulfillment of what was offered in the session description.
  • Not solicit off-platform payments for services initiated through the Platform. This is a serious violation and may result in permanent suspension.
  • Obtain explicit consent from all participants before activating session recording.
  • Not share confidential information about the Client with third parties without authorization.
  • Not provide advice that requires professional licenses or certifications they do not possess (e.g., regulated medical, legal, or financial advice, when not authorized for it).
  • Keep updated their profile, availability, and tax data.
  • Respect the Terms of Service and this policy.

5. Intellectual property

  • The Expert retains ownership of all the content they create and share (biography, session descriptions, materials, recordings if applicable).
  • By publishing on the Platform, the Expert grants a worldwide, non-exclusive, royalty-free, revocable license for the Platform to store, display, and distribute that content in the context of operating the service.
  • The brand, software, design, and code of the Platform are property of Mentorio.me. The Expert does not acquire rights over these elements beyond normal use of the service.
  • The Expert warrants to have the rights over the content they publish and that it does not infringe third-party rights.

6. Recordings and consent

  • Recordings are opt-in per session (disabled by default).
  • If the Expert enables recording, the system requests explicit consent from the Client before starting. A Client may refuse and opt not to be recorded or cancel subject to the policy.
  • Recordings are stored with 60-day retention, after which they are automatically deleted.
  • The Expert may not distribute recordings outside the Platform without explicit authorization from all participants.
  • The Expert commits to using recordings for legitimate purposes (Client review, own quality) and not for additional commercial purposes.

7. Strikes, suspensions, and reactivation

7.1 When a strike is assigned

  • Expert cancellation less than 24h in advance.
  • Confirmed Expert no-show (Client reports after 10 min, system validates).

7.2 Thresholds

  • 3 strikes within a rolling 60-day windowautomatic suspension of the Expert's account.
  • During suspension, the profile becomes inactive and no new bookings are accepted.

7.3 Reactivation

To reactivate a suspended account:

  1. The Expert sends a reasoned request to support@mentorio.me.
  2. The team reviews the strike history and any additional context.
  3. A corrective plan may be required (e.g., verifiable availability commitment).
  4. The decision is at the reasonable discretion of the Platform.

Strikes automatically expire after 60 days from their assignment.

8. Cancellations by the Expert

  • The Client always receives a 100% refund when the Expert cancels.
  • If the cancellation is < 24h before, a strike is assigned to the Expert.
  • Repeated cancellations, even with advance notice, may prompt manual review if they affect the Client experience.
  • The Expert is encouraged to offer rescheduling as an alternative when possible.

9. Reviews

  • Reviews the Expert receives are public and displayed on their profile.
  • They are published without prior moderation.
  • The Client may edit their review up to 7 days after publishing and may leave a review up to 14 days post-session.
  • The Expert may respond once publicly to each review. This response is not editable.
  • If a review is abusive, defamatory, illegal, or violates the Terms, the Expert may report it. The Platform will review and, if appropriate, remove it.
  • The Expert may not demand positive reviews or incentivize the Client to modify a review.

10. Termination of the Agreement

10.1 By the Expert

The Expert may close their account and terminate this Agreement at any time from /account/security. Already confirmed sessions must be honored or canceled with a refund to the Client.

10.2 By the Platform

The Platform may suspend or terminate this Agreement if:

  • The strike threshold is reached.
  • A serious violation of these Terms or the Expert Agreement is detected (fraud, inappropriate conduct, soliciting off-platform payments, etc.).
  • Required by competent authority.
  • The Expert breaches their tax or regulatory obligation in a manner that exposes the Platform to legal risk.

10.3 Effects

After termination:

  • Confirmed bookings are honored or refunded.
  • Pending payouts are processed via bank transfer in the next cycle after account closure, per §2.2 of this Agreement.
  • The Expert's data follows the retention policy described in the Privacy Policy.

11. Confidentiality

The Expert has access to Client information related to the session (preparation form, shared context, conversations during the session). This information is confidential. The Expert commits to:

  • Not sharing it with third parties without authorization.
  • Using it exclusively to provide the session and reasonable follow-up.
  • Deleting local copies when they are no longer necessary, unless the law requires them to be kept.

12. Indemnification

The Expert agrees to indemnify and hold harmless Mentorio.me, its directors, employees, and affiliates, from any claim, loss, damage, or expense arising from:

  • The content, quality, or outcome of the sessions they provide.
  • Violations of their own professional, tax, or regulatory laws.
  • Client complaints about the delivery of the service.
  • Infringement of third-party rights by content they publish.

13. Limitation of liability

The Platform's total liability to the Expert, in any case, shall not exceed the total commissions the Platform has received from the Expert's sessions in the last 12 months.

The Platform is not liable for:

  • Losses arising from failures of Stripe, Daily.co, or other third parties.
  • Income not obtained due to suspension motivated by strikes or violations.
  • Client decisions about booking or canceling.

14. Applicable law and disputes

This Agreement is governed by the laws of the Republic of Honduras. Disputes are resolved according to the procedure described in the Terms of Service §13–14: direct negotiation, mediation, and, as a last resort, competent courts of Honduras.
